Legal Counsel, Commercial

Job Description

• Review, revise, and negotiate all types of sales, partnership, and procurement agreements • Provide commercial legal advice to sales, partnership, and procurement teams • Negotiate and draft agreements, amendments, NDAs and other legal documents • Ensure compliance with relevant company policies • Work closely with deals desk to build processes and tools for negotiating sales agreements at scale • Help build new processes to improve our team’s and Ramp’s efficiency • Drive consistency across deals by helping to optimize, streamline, and standardize contractual language • Provide ad-hoc legal advice where needed • Assist in building playbooks and pre-approved terms for our deals desk • Help organize and create legal training for our Ramp colleagues

Qualifications

• A juris doctor (J.D.) degree from an ABA accredited law school • 3-5 years of professional experience as an attorney (this is a junior counsel role) • Licensed in any U.S. state but eligible to practice in NY or CA • Exceptional communication skills, written and verbal • Prior experience negotiating technology/SaaS agreements, NDAs, and data processing agreements • Excellent project management instincts • You have a “get things done” mentality; you can dissect problems, identify solutions, and drive these solutions to completion with a high degree of autonomy • You are a true team player with a track record of successful cross-functional collaboration
